This Amendment No. 4 (this “Amendment No. 4”) amends and supplements the Tender Offer Statement on Schedule TO (“Schedule TO”) filed with the Securities and Exchange Commission (the “SEC”) on June 5, 2009, as amended and supplemented by Amendments No. 1, 2 and 3 to the Schedule TO, by CB Richard Ellis Group, Inc. (the “Company”) in connection with the Company’s offer to exchange certain outstanding options to purchase shares of the Company’s Class A common stock for new restricted stock (or in France and Canada, new options) (the “Exchange Offer”).

This Amendment No. 4 reports the results of the Exchange Offer by amending only the item of the Schedule TO included below, and unaffected items are not included herein. Pursuant to Rule 12b-15 under the Securities Exchange Act of 1934, as amended, this Amendment No. 4 amends and restates only the items and exhibits to the Schedule TO that are being amended and restated, and unaffected items and exhibits are not included herein.

Item 4. Terms of the Transaction.

Item 4 of the Schedule TO is hereby amended and supplemented by adding the following:

The Exchange Offer expired at 9:00 p.m., Pacific Time, on Wednesday, July 8, 2009. Pursuant to the Exchange Offer, eligible employees tendered, and the Company accepted for cancellation, eligible options to purchase an aggregate of 923,033 shares of the Company’s Class A common stock which were cancelled as of July 9, 2009. On Thursday, July 9, 2009, the Company granted 819,672 shares of restricted stock to eligible employees and 103,361 new options to eligible employees in France and Canada in exchange for the cancellation of the tendered eligible options. The exercise price of the new options granted in France and Canada is $8.09, which was the closing price of the Company’s Class A common stock on July 9, 2009.
